By accessing www.gleepzy.com, submitting an enquiry or project brief, engaging Gleepzy Research as a service provider, or participating in any research study administered by Gleepzy Research, you agree to be bound by these Terms of Service and our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use our services.
Gleepzy Research reserves the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after such notice constitutes acceptance of the updated Terms.
Gleepzy Research provides the following categories of services:
The specific services applicable to any project are defined in the project proposal, statement of work, or master service agreement executed between Gleepzy Research and the client. In the absence of a separate written agreement, these Terms govern the engagement.
Gleepzy Research reserves the right to decline any project brief at its sole discretion, including but not limited to projects that conflict with our ethical standards, applicable law, or these Terms.
Clients are responsible for providing accurate, complete, and timely project specifications including target audience definition, quota requirements, estimated incidence rate, survey length, and field timeline. Gleepzy Research is not liable for delivery failures or data quality issues arising from inaccurate or incomplete specifications provided by the client.
Where the client supplies a survey instrument, the client warrants that:
Gleepzy Research reserves the right to review survey instruments before activation and to decline to field surveys that do not meet these standards.
Research data delivered by Gleepzy Research is provided for the client's own internal research and business intelligence purposes. Clients may not:
Pricing for Gleepzy Research services is determined on a per-project basis, typically expressed as a Cost Per Interview (CPI) for sample projects, or as a fixed project fee for full-service engagements. All pricing is confirmed in a written proposal or statement of work before project activation.
Gleepzy Research reserves the right to revise pricing mid-project where the actual incidence rate or survey completion time materially deviates from the client's estimated specification. In such cases, Gleepzy Research will notify the client and obtain approval before continuing fieldwork at the revised rate.
Unless otherwise agreed in writing, payment terms are as follows:
If a client cancels a project after fieldwork has commenced, Gleepzy Research will invoice for all work completed to the point of cancellation, including all respondent costs incurred. If the project has not yet commenced, cancellation fees may apply as specified in the project proposal.
Gleepzy Research replaces all records rejected by our post-field QC process at no additional charge. Replacement is provided until the agreed quota is met, within the agreed field timeline. Replacement for records rejected by the client's own internal QC process beyond our standard QC pass rate is subject to separate agreement.
All survey instruments, screener content, concept materials, and other intellectual property provided by the client remain the exclusive property of the client. Gleepzy Research acquires no ownership rights in client-provided materials and will not use them for any purpose other than delivering the agreed project.
All research methodologies, QC frameworks, proprietary tools, tracking systems, and analytical templates developed by Gleepzy Research remain the exclusive intellectual property of Gleepzy Research. Clients may not copy, adapt, reverse-engineer, or disclose Gleepzy Research's proprietary methodologies without prior written consent.
Upon receipt of full payment, the client receives a non-exclusive licence to use the project deliverables (data files, reports, and analysis) for internal business purposes. Gleepzy Research retains the right to use aggregate, anonymised, non-client-identifiable insights from research projects for internal product development and industry publications.
Each party agrees to treat as confidential all non-public information received from the other party in connection with a project, including but not limited to project briefs, pricing, respondent data, analytical outputs, and business strategies. Neither party will disclose the other's confidential information to any third party without prior written consent, except:
Confidentiality obligations survive the termination of the engagement for a period of 3 years.
Each party shall comply with all applicable data protection laws in connection with the services. Gleepzy Research's data protection practices are governed by our Privacy Policy.
Where Gleepzy Research processes personal data on behalf of the client (for example, in a customer satisfaction study where the client provides a respondent contact list), a Data Processing Agreement (DPA) will be executed between the parties before any such processing commences.
Clients warrant that they have the necessary legal basis to provide any respondent contact lists or personal data to Gleepzy Research, and that respondents have been appropriately informed that their data may be used for research purposes.
Gleepzy Research warrants that:
Gleepzy Research makes no warranty that:
To the maximum extent permitted by applicable law, Gleepzy Research disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, Gleepzy Research's total liability to the client for any claim arising out of or related to the services — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the client to Gleepzy Research for the specific project giving rise to the claim in the 12 months preceding the claim.
In no event shall Gleepzy Research be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or reputational harm, even if Gleepzy Research has been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Gleepzy Research will not provide services for any of the following purposes:
Clients found to be using Gleepzy Research services for prohibited purposes will have their project terminated immediately. No refund will be provided for work completed, and Gleepzy Research reserves the right to report such misuse to relevant authorities.
Either party may terminate an engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of receiving written notice of the breach.
Gleepzy Research may suspend or terminate services immediately and without notice if:
On termination, all confidentiality obligations and intellectual property provisions of these Terms survive.
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be referred to binding arbitration under the Arbitration and Conciliation Act 1996 (India), with a single arbitrator appointed by mutual agreement. The seat of arbitration shall be Mumbai, Maharashtra, India.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a competent court.
